The board of the Hot Springs Village Pickleball Club is recommending three changes to the Bylaws of the club. This email to all Club members will be followed by a period of at least two weeks to allow for questions from members. The final changes will be sent to all members for a vote by electronic ballot and must be approved by a simple majority of Club members who reply. The voting will conclude seven days after the electronic ballot is sent to the members.
Change #1. Article VI Section 1
The first sentence currently reads as follows: The elective officers of The Club shall be President, Vice-President, Secretary, and Treasurer.
The proposed change is to add the second sentence shown in bold: The elective officers of The Club shall be President, Vice-President, Secretary, and Treasurer. The elective members of the Board shall be the four officers, the Immediate Past President, and two members at large.
Reason for the change: The inclusion of the immediate past president of the board enables the board to take advantage of the experience of the past president and knowledge of the reasons for past board decisions. The two members at large provide additional experience and additional representation for all of the members.
Change #2. Add Article XII – Vacancies
If a vacancy shall occur on the Board, the remaining members of the Board may, by a majority vote, elect a successor for the unexpired term with two exceptions: 1) a vacancy in the office of the Immediate Past President shall not be filled, and 2) a vacancy in the office of the President shall be succeeded by the Vice President.
Reason for the addition: The bylaws do not currently address the issue of vacancies on the board.
Replace the words “officer” or “officers” to “board member” or “board members” in multiple places in the bylaws where appropriate to reflect the fact that the board is composed of the four officers plus additional board members.
